1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of DiamondPayments.io (the "Service," "Platform," "we," "us," or "our"), a merchant services platform operated by Diamond Hand Empire Inc., doing business as Diamond Payments ("Diamond Payments").

By submitting an application, using our services, or accessing the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional agreements, disclosures, or schedules provided to you during onboarding.

If you do not agree to these Terms, you must not use the Service.

2. Services Provided

Diamond Payments provides access to payment processing solutions for businesses, including but not limited to:

  • Credit and debit card processing
  • Cash discount and surcharge programs (where permitted)
  • Payment gateways and virtual terminals
  • Point-of-sale (POS) and hardware solutions
  • High-risk and standard-risk merchant account placement
  • Ancillary services offered through acquiring banks, sponsor banks, and third-party processors

Diamond Payments is not a bank, card network, or card issuer. All payment processing services are provided through third-party acquiring banks, payment processors, and financial institutions.

3. Merchant Eligibility & Approval

3.1 No Guarantee of Approval

Submission of an application does not guarantee approval. All merchant accounts are subject to underwriting, risk review, and ongoing monitoring by Diamond Payments and its processing partners.

3.2 High-Risk Merchants

We work with both standard-risk and high-risk merchants. High-risk designation may be based on, but not limited to:

  • Industry classification
  • Chargeback ratios
  • Business model
  • Subscription or recurring billing
  • Credit profile
  • Processing history

High-risk merchants may be subject to:

  • Higher processing fees
  • Rolling reserves or delayed funding
  • Transaction limits
  • Additional compliance requirements

These conditions are determined by underwriting partners and may change at any time.

4. Merchant Responsibilities

You represent and warrant that:

  • All information provided is accurate, complete, and truthful
  • You are legally authorized to operate your business
  • You will comply with all applicable federal, state, and local laws
  • You will comply with card network rules (Visa, Mastercard, Discover, American Express)
  • You will not process prohibited or illegal transactions

You are solely responsible for:

  • Customer disclosures
  • Refund and cancellation policies
  • Product/service delivery
  • Customer service and dispute resolution

5. Prohibited Activities

You may not use the Service to:

  • Engage in illegal, deceptive, or fraudulent activity
  • Process transactions for unapproved products or services
  • Launder money or facilitate financial crime
  • Violate card network rules or bank regulations
  • Misrepresent pricing, refund policies, or business practices

Processing activity outside your approved business scope is grounds for immediate termination.

6. Fees, Pricing & Funding

6.1 Fees

All fees, rates, and pricing structures are disclosed during onboarding or via merchant agreements. Fees may include, but are not limited to:

  • Transaction fees
  • Monthly or annual fees
  • Gateway or platform fees
  • Chargeback fees
  • Equipment fees

6.2 Funding Delays

Funding times are estimates only and may be delayed due to:

  • Underwriting review
  • Risk monitoring
  • Chargebacks or disputes
  • Bank holidays or processing issues

Diamond Payments is not liable for funding delays caused by third parties.

7. Chargebacks & Disputes

You are fully responsible for all chargebacks, retrieval requests, refunds, fines, and penalties associated with your account.

We may debit your linked bank account for:

  • Chargeback amounts
  • Associated fees
  • Negative balances

Excessive chargebacks may result in:

  • Account termination
  • Reserve requirements
  • Reporting to monitoring programs

8. Reserves & Holds

Diamond Payments and its partners may establish reserves or hold funds at their discretion to mitigate risk. Reserves may be adjusted, extended, or released based on account performance and risk profile.

9. Account Suspension & Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Excessive risk or chargebacks
  • Misrepresentation
  • Regulatory or banking requirements

Upon termination, you remain liable for all outstanding obligations.

10. Third-Party Providers

The Service may integrate with third-party platforms, gateways, banks, or software providers. Diamond Payments is not responsible for the performance, availability, or actions of third parties.

11. Limitation of Liability

To the maximum extent permitted by law, Diamond Payments shall not be liable for:

  • Lost profits or revenue
  • Business interruption
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the fees paid by you to Diamond Payments in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Diamond Payments, Diamond Hand Empire Inc., its officers, directors, agents, and partners from any claims, damages, losses, or expenses arising from:

  • Your business operations
  • Customer disputes
  • Regulatory violations
  • Breach of these Terms

13. No Legal, Tax, or Financial Advice

Diamond Payments does not provide legal, tax, or accounting advice. You are responsible for consulting your own advisors.

14. Modifications to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of revised Terms.

15. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in San Diego County, California.

16. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, network failures, or governmental actions.

17. Entire Agreement

These Terms constitute the entire agreement between you and Diamond Payments regarding the Service and supersede all prior agreements or understandings.
